THE CONTESTS ARE CURRENTLY NOT "LIVE", THE SITE IS ONLINE FOR DISPLAY, DEVELOPMENT AND TESTING PURPOSES ONLY. NO PRIZES ARE CURRENTLY BEING AWARDED.
ARTICLE 1 INTRODUCTION.
Hunt for a Million, a Utah corporation (the “Sponsor”), organizes and operates an online contest (the “Contest”) on its website http://www.TheHuntForaMillion.com (the “Site”) and other partner sites (the “Advertisers’ Sites” and collectively with the Site, the “Contest Websites”).
The Contest is a game of skill. No purchase is necessary to play and entry into the Contest is free of charge. Winners of the Contest will be determined by the objective criteria set forth below in these terms of use (the “Terms of Use”).
It is required that participants in the Contest (the “Participants”) review, accept and agree to be bound by these Terms of Use, which constitute the Contest’s official rules, and recognize the decisions of the Sponsor as final, before participating in the Contest. These Terms of Use spell out the important aspects of eligibility, registration, tax consequences and etc. All rules, regulations, and prizes contained herein are subject to change and revision by the Sponsor without prior written notice. Participants shall periodically review these Terms of Use posted at the Site at a rate not less than once monthly.
PLEASE READ THESE TERMS OF USE IN THEIR ENTIRETY. ENTRY OR PARTICIPATION IN THE CONTEST CONSTITUTES YOUR ACCEPTANCE OF THESE TERMS OF USE.
ARTICLE 2 ELIGIBILITY.
The Contest is to all legal residents of the 50 United States of America (“U.S.”) ONLY, residing in the U.S. including the District of Columbia, who are 13 years of age or older at the time of registration and who have an active e-mail account and Internet access at the time of entry. The Contest is void where prohibited by law. Persons residing in any other jurisdictions may participate in the underlying game (unless the Contest or entry into the Contest is prohibited by applicable local law), but will be ineligible to win prizes in the Contest. In addition, the following are NOT eligible to participate in the Contest or win prizes: Employees of the Sponsor and any owner of an Advertisers’ Site and their respective parent companies, affiliates and subsidiaries, their participating retail stores, their advertising and promotion agencies, their licensors, and their respective employees, individuals engaged in the development, production or distribution of materials for this Contest, persons who are immediate family of, dependents of (as defined by IRS regulations), or who live in the same household as any person in any of the above categories. If a Participant is a minor between the ages of 13 and 17, his/her parent or legal guardian must submit an entry on such Participant’s behalf and in the event such entry is determined to be a winner, the prize will be awarded to the parent or legal guardian submitting the entry.
The Sponsor makes no representations or warranties, implicit or explicit, as to any person’s legal right to participate in any Contest offered on the Contest Websites. Each Participant is subject to all laws of the state, province and/or country in which he/she resides and from which he/she accesses the Contest Websites and is solely responsible for obeying those laws. Each Participant agrees the Sponsor cannot be held liable, if laws applicable to a Participant restrict or prohibit such Participant’s participation in the Contest. The Sponsor reserves the right to monitor the location from which any Participant accesses the Contest Websites and to block access from any jurisdiction in which participation is illegal or restricted.
All federal, state and local laws and regulations apply. VOID WHERE PROHIBITED OR RESTRICTED BY LAW.
ARTICLE 3. HOW TO ENTER.
Each Participant must be the “authorized account holder” (as defined below) of an e-mail address and must have access to the Internet to participate in the Contest. Participants may access the Contest by visiting the Site. In order to enter the Contest, Participants must follow the on-screen directions at the Site to create an account (a “Contest Account”). Contest Account setup is free of charge and Participants incur no obligations other than the Participant’s agreement to be bound by these Terms of Use. In order to create a Contest Account, each Participant must submit the following information: a user name, a password and the Participant’s email address. If a Participant meets all the prize winning eligibility requirements set forth in Article 2 above, the Participant must also provide the following additional contact information to complete his/her entry in the Contest (collectively, the Contest Account information and additional Contest-related entry information are referred to in these Terms of Use as an “Entry”): the Participant’s full name, birth date, permanent residential address, and telephone number. Participants between the ages of 13 through 17 must have a parent submit their contact information for completion of an Entry. Each Participant MUST create his/her own individual Contest Account and must accurately complete all required information. Contest Accounts are not transferable to any other person. By submitting an Entry, each Participant agrees not to allow any other person to use or access his/her Contest Account for any purpose. Each Participant represents and warrants that all information he/she supplies in his/her Entry is true, complete, current and accurate. Knowingly submitting incomplete or inaccurate information in an Entry will result in immediate termination of a Participant’s Contest Account and forfeiture of any prizes to which such Participant is otherwise entitled. The Contest is an Internet-based game only. Entries will only be accepted online. No faxed, mailed, electronically mailed, or phoned in Entries are allowed. All Entries become the property of the Sponsor and will not be returned to Participants. LIMIT ONE CONTEST ACCOUNT PER PERSON, AND ONE ENTRY PER PERSON PER DAY. While Participants may create a Contest Account at any time, only valid Entries into the Contest (which otherwise comply with all requirements of these Terms of Use) will be eligible for the prizes offered in connection with this Contest.
Although multiple attempts to enter may be received, only the first Contest Account and Entry created per day by any individual will be considered in this Contest. Individuals who create multiple Contest Accounts or submit multiple Entries into this Contest will be disqualified from the Contest and inelgible for any prizes. For the purposes of this Contest and these Terms of Use, “receipt” of an Entry occurs when the Sponsor’s servers record the entry information upon the Participant’s clicking the “Register” button at the bottom of the Entry form at the Site. Any automated computer receipt (such as one confirming delivery of email or a “thanks for entering” message) does not constitute proof of actual receipt of an Entry by the Sponsor. The Sponsor assumes no responsibility for advising a Participant of an incomplete or otherwise non-compliant Entry submission. Late, unintelligible, incomplete, or garbled Entries will be disqualified.
In the event of a dispute about the identity of a Participant, each Entry will be declared made by the authorized account holder of the email address submitted at the time of Entry. If a prize is won, and the authorized account holder is a valid Participant, the prize will be awarded to such authorized account holder. “Authorized account holder” is defined as the natural person who is assigned to an email address by an Internet Access Provider, online service provider, or other organization (e.g. business, educational institution, etc.) that is responsible for assigning email addresses for the domain associated with the submitted email address. A potential winner may be required to provide the Sponsor with proof that he/she is the authorized account holder of the email address associated with the winning Entry.
It is the sole responsibility of each Participant to notify the Sponsor if his/her e-mail address changes. To do so, email the Sponsor a change of email address request at http://www.TheHuntForAMillion.com/contact/ . Any Participant whose Contest Account has been revoked and suspended or destroyed by the Sponsor, for any reason, may not register again without explicit prior permission from the Sponsor. Such requests may be addressed to http://www.TheHuntForAMillion.com/contact/.
By entering the Contest, Each Participant agrees to and accepts in full these Terms of Use and the decisions of the Sponsor, which are final and binding in all respects. If a Participant does not understand or agree with any part of these Terms of Use, the Privacy Policy, or any other rules contained on the Contest Websites, such Participant should not submit an Entry or participate in the Contest.
ARTICLE 4 HOW TO PLAY.
The Contest is a free game of skill. In order to win, Participants will be required to solve a puzzle (each a “Puzzle”) posted on the Site by the Sponsor. Each Puzzle resembles a map that is divided into numerous grids. Each grid of a Puzzle is hyperlinked to an Advertiser’s Site, a website of one of the various advertisers (each an “Advertiser”) sponsoring the Contest. When Participants select a grid, a link is established with the Advertiser’s Site assigned to that grid, which appears in a separate window. Participants must search the Advertiser’s Sites accessed in this manner in order to find clues (each a “Clue”) hidden on the Advertiser’s Sites. There will be 5-20 separate hidden Clues for each Puzzle of the Contest. Only certain Advertiser’s Sites will contain a Puzzle’s Clues. The Advertiser’s Sites that contain the Clues will change for each Puzzle. Once a Clue is discovered, Participants must then find the correct answer to such Clue (each an “Answer”). Each of the Clues will have one Answer. Participants must then submit their solution to the Puzzle to the Sponsor by entering the Answers into the Site’s “clue tracker” in the order determined by the participant (each solution submission is hereinafter referred to as a “Guess”). In order to “win” a Puzzle, a Participant must be the first Participant, who has submitted a valid Contest Entry within a particular Jurisdiction (as defined below), to provide to the Sponsor the Puzzle’s correct solution. Each additional person that solves the puzzle will be entered into a drawing for that day for a daily grand prize. Each correct entry throughout the month will give the participant an entry into the monthly grand prize drawings.
The Sponsor will post a different Puzzle for each jurisdiction (the “Jurisdiction”). Jurisdictions will be determined by the amount of available Advertising within a geographic area. Accordingly, a city such as New York may have several Jurisdictions while a state will relatively low population such as North Dakota may have only one Jurisdiction (or may be combined with other states in order to create a Jurisdiction). Each Participant will automatically be routed to his/her Jurisdiction’s Puzzle when accessing the Site. A Participant is eligible to participant in a and win prizes for only the Puzzles posted in his/her own Jurisdiction.
A new Puzzle will be generated each day at 12:01 a.m. (the “Beginning Time”) in the time zone of the Jurisdiction in which the Puzzle is posted (the “Jurisdiction’s Time Zone”). If no Participant submits a winning solution to a Puzzle before 11:59 p.m. (the “Ending Time”) (in the Jurisdiction’s Time Zone) of the day such Puzzle is posted, there will be no winner for that Puzzle. In other words, a new Puzzle will be posted at the Beginning Time of each day regardless of whether the previous day’s Puzzle was solved or not prior to the Ending Time.
ARTICLE 5 PRIZES.
Each day the Sponsor may award one "Fast Cash" prize (up to $50 value) for the first person in each jurisdiction to correctly solve that day's puzzle. Each month, the Sponsor will award one Puzzle winner in each Jurisdiction a monthly grand prize of between $0 and $50,000.00 cash (the “Grand Prize”). Daily drawing winners for the month will receive a prize valued at $0 to $1,000 each. Participants will not know the prize for any Puzzle until the winner of that Puzzle is determined and announced by the Sponsor. Notwithstanding the foregoing, because the amount or value of all Contest prizes, including the Grand Prize, will be determined by the number of Advertisers sponsoring the Contest in a particular Jurisdiction at a particular time, if a minimum amount of advertising slots has not been filled by Advertisers within that Jurisdiction, the amount or value of any prize for such Jurisdiction may, at the sole discretion of the Sponsor, be reduced subject to notice deemed appropriate by the Sponsor. Alternatively, the Sponsor may, at its sole discretion, pause, suspend or cancel any Contest in any Jurisdiction until the minimum amount of advertising slots for that Jurisdiction has been filled by Advertisers.
Participants are limited to a maximum of three (3) "Fast Cash" prizes. Participants are also limited to two (2) Monthly Grand Prize per year, two (2) Daily prize per year, and one Annual Grand prize. Annual Grand prize winners are not eligible for additional annual grand prizes. Prize limitations may also be imposed by the advertiser or provider of the prize (such as limiting each prize to one per household).
Winners may not substitute, assign or transfer prizes, but the Sponsor reserves the right, in its sole discretion, to substitute prize with another prize, or to cancel prizes, if necessary. All prizes are awarded “as is” and without warranty of any kind, express or implied, (including, without limitation, any implied warranty of merchantability for a particular purpose). The Sponsor expressly disclaims any responsibility or liability for injury or loss to any person or property relating to the delivery and/or subsequent use of the prizes awarded. Any unclaimed prizes will not be awarded. The Sponsor will not replace any lost or stolen prize items.
The Sponsor may require any Participant receiving any prize to provide the Sponsor with proof that he/she meets the eligibility requirements set forth herein to participate in the Contest. Prizes will not be fulfilled outside the U.S. In the event that a prize is won by a Participant who is a minor in his/her jurisdiction of primary residence (including, but not limited to, all participants of the Contest ages 13 through 17), the prize will be awarded to, or in the name of, the minor’s parent/legal guardian. All affidavits, releases and undertakings necessary to claim the prize set forth in these Terms of Use must be executed and undertaken by the parent/legal guardian of the minor, both on behalf of themselves and the minor, or the prize will be forfeited.
In the event that the awarding of any prizes to winners of the Contest is challenged by any legal authority, the Sponsor reserves the right in its sole discretion to determine whether or not to award such prizes.
Expenses not specifically stated in these Terms of Use, together with the reporting and payment of all applicable taxes, fees, and/or surcharges, if any, arising out of, or resulting from, acceptance or use of a prize, are the sole responsibility of the winner of that prize. It is the policy of the Sponsor, in compliance with United States Internal Revenue Service regulations, to send a Form 1099 to any person who wins in excess of $600 (USD). Winners receiving $600.00 or more agree to submit their valid and legal social security number to the Sponsor and winners understand that their social security numbers will be used to report income to the Internal Revenue Service.
ARTICLE 6 NOTIFICATION.
Immediately after the correct solution to a Puzzle has been submitted via the “clue tracker,” a notice will appear on the Winner page of the Site notifying Participants that the Puzzle has been correctly solved and listing the first name of the Participant who solved the Puzzle and the prize to be awarded in connection with that Puzzle. Within seven (7) days after being declared the winner of the Puzzle on the Site, the Sponsor will also notify each winner by e-mail or regular mail of the prize he/she has won (the “Prize Notification”). The Prize Notification will set forth the process by which winners may claim their prizes. It is the winner’s responsibility to notify the Sponsor if his/her contact information, including email address or residential address, changes. Any Prize Notification returned as undeliverable may result in disqualification of the winner.
All potential winners are subject to verification by the Sponsor, and must meet all eligibility requirements before a prize will be awarded. In addition, a potential winner may be required to provide the Sponsor with proof that the potential winner is the authorized account holder of the e-mail address associated with the winning Puzzle solution entry. Before a prize will be awarded, each winner may be required to sign, notarize and return to the Sponsor an affidavit of eligibility and acceptance of these Terms of Use and a publicity/liability release (unless prohibited by law) within thirty (30) days following attempted Prize Notification. By accepting any prize, each winner grants permission to the Sponsor to use his/her name, address, photograph and/or likenesses for publicity and promotional purposes without further compensation or authorization, unless prohibited by law.
Failure to claim a prize in accordance with the requirements set forth in these Terms of Use and/or within thirty (30) days of the date on which attempted Prize Notification is made shall result in disqualification of the winner and forfeiture of the prize. If a prize is forfeited it will not be awarded to another Contest Participant.
ARTICLE 7 RULES OF CONDUCT.
By entering or participating in this Contest, each Participant agrees to be bound by these Terms of Use, which will be posted at the Site throughout the duration of the Contest. Participants further agree to be bound by the decisions of the Sponsor, which shall be final and binding in all respects.
A Participant shall not participate in the Contest (nor accept any Prize) if the Participant does not fully understand, agree to, become a party to, and shall abide by, without exception, all rules, regulations, terms and conditions contained in these Terms of Use and that such rules, regulations, terms and conditions may change from time-to-time.
In addition to the other terms and conditions contained throughout these Terms of Use, in the event of any of the following, any Participant may, among other things, have his/her Contest Account deleted, may be disqualified and/or may forfeit his/her eligibility, prizes and/or winnings in the sole discretion of the Sponsor with or without warning:
(a) Any tampering with the Entry process for the Contest, including the use of robotic, automatic, macro, programmed or like Entry methods (as a result, all such Entries will be void).
(b) As each Participant may establish only one Contest Account to participate in the Contest, the opening of more than one Contest Account.
(c) Providing inaccurate, improper, and/or incomplete information in connection with the processes of Contest Account setup and Entry submission.
(d) Because a Contest Account may be used only by the Participant who registered the Contest Account, allowing any other person to access his/her Contest Account, access the Site, submit any Guesses, accept any prizes, or participate in any Puzzle using his/her Contest Account’s information.
(e) Any attempt to gain unauthorized access to the Contest Websites’ systems or any account, including without limitation any other Participants’ Contest Account, interfere with procedures or performance of the Contest Websites, or deliberately damage or undermine the Contest Websites (as a result, the Participant is also subject to civil and/or criminal prosecution).
(f) Any attempt to participate in any Puzzle offered on the Contest Websites by means of automatic, macro, programmed, computer-assisted or similar methods, or to otherwise commit fraud with regard to the Contest Websites or the Contest (as a result, the Participant is also subject to civil and/or criminal prosecution).
(g) Selecting user names that the Sponsor, in its sole discretion, determines offensive.
(h) Any successful and/or unsuccessful attempt to cheat, tamper, gain an unfair advantage, manipulate, hack, stall, delay, expedite, bypass, modify or make any unauthorized and/or improper modifications to the process(es) of Contest Account setup and Entry registration, logging in, normal operation of the Contest Websites and Contest software and/or hardware, Guess (Puzzle solution) submissions, any Contest logistics and/or other aspects of the Contests (the "Processes") and/or the Contest “gameplay” (selection of map grids on the Site, accessing Advertisers’ Sites, discovery or identification of Clues, determination of Answers and order of Answers) (“Gameplay”).
(i) Any intentional or unintentional disconnecting of an Internet connection, power source or other electronic malfunction, power outage or other natural or unnatural act which causes the Processes and/or Gameplay to be interrupted, delayed or otherwise adversely affected.
(j) Any utilization of any software or hardware to gain an unfair advantage, or acting in an unsportsmanlike and/or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person, as determined in the sole discretion of the Sponsor.
(k) Any Participant’s inability, failure and/or refusal to provide verification of full compliance with the Terms of Use and the Processes.
(l) Any Participant’s inability, failure and/or refusal to fully participate in and/or cooperate in connection with any investigation or inquiry into compliance with the Terms of Use, Processes and Gameplay, which may be undertaken by the Sponsor in its unrestricted and sole discretion. The foregoing shall include, without limitation, any request by the Sponsor that any player provide a written, notarized declaration under penalty of perjury of the laws of the State of Utah and the United States of America.
(m) The existence, adoption, modification, legislation, amendment, and/or enforcement of any applicable statute, ordinance, regulation, administrative and/or judicial ruling and/or determination by any government entity that the Contest, any of the terms or rules set forth in these Terms of Use, or any of the Processes, or Gameplay are unlawful, restricted by applicable law and/or contrary to the public policy of any applicable governing body. In event of the foregoing, the Sponsor shall have the option of disqualifying any and/or all participants and terminating the Contest with or without notice in the Sponsor’s absolute and sole discretion.
EACH PARTICIPANT’S EFFORTS AND ATTEMPTS TO SOLVE ANY AND ALL PUZZLES MAY BE MONITORED BY THE SPONSOR. IN ADDITION, THE SPONSOR MAY VERIFY AND/OR CONDUCT AN INVESTIGATION INTO ANY AND ALL ASPECTS OF ANY SUBMISSION OF A PUZZLE’S CORRECT SOLUTION TO VERIFY ELIGIBILITY AND/OR FULL COMPLIANCE WITH THE RULES.
Any attempt by a Participant or any other individual to deliberately (i) alter or damage the Contest Websites or the Contest, or (ii) undermine the legitimate operation of the Contest may be a violation of criminal and civil laws, and should such an attempt be made, the Sponsor reserves the right to immediately terminate the person’s Contest Account, if any, and seek damages or other remedies from any such person to the fullest extent permitted by law.
Sponsor also reserves the right, in it sole discretion, to do any of the following:
(a) Interpret all questions and conditions regarding the Contest, without claim for damages or recourse of any kind Investigate and verify any prize winner and disqualify any winner who it finds, in its sole judgment, has not complied with these Terms of Use.
(b) Lock out a Participant whose eligibility is in question or who has been disqualified or is otherwise ineligible to enter the Contest.
(c) Terminate any Participant’s Contest Account or decline or limit such Participant’s participation in the Contest for any reason, including, but not limited to harassment of other Participants, any breach of the terms of these Terms of Use, any breach of the security of the Participant’s Contest Account or the Contest Websites, tampering with the Entry process, or engaging in any conduct detrimental to the Sponsor, the Advertisers, the Contest or any other Participants (in each case as determined in the Sponsor’s sole discretion).
By registering for a Contest Account and/or participating in any Puzzle offered on the Contest Websites, each Participant consents to allow the Sponsor to access his/her Contest Account information to investigate complaints or other allegations of abuse.
The Sponsor shall act as the sole judge for any discrepancies or situations not covered in these Terms of Use. All questions regarding the Contest, which are not specifically listed under these Terms of Use will be decided by the Sponsor.
ARTICLE 8 LIMITATIONS ON LIABILITY; RELEASE.
The Sponsor and each Advertiser (and the affiliates and subsidiaries of the Sponsor and each Advertiser) (collectively, the “Contest Entities”) are not in any way responsible or liable for damage, loss or injury resulting from (i) altered, late, lost, damaged, misdirected, mutilated, garbled, illegible or incomplete Entries, or human, telephone, computer, online, or technical malfunctions or failures (including busy lines and disconnections), or acceptance and use of a prize or travel in connection with such prize; (ii) typographical or other errors in the offer or administration of this Contest, including but not limited to errors in advertising, the Terms of Use, the selection and announcement of the winners or the distribution of the prizes; (iii) any incorrect or inaccurate information, whether caused by Contest Websites users or by any of the equipment or programming associated with or utilized in the Contest or by any technical or human error that may occur in the processing of submissions in the Contest; (iv) any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft of or destruction or unauthorized access to, or alteration of, Entries; (v) any incorrect or inaccurate capture of information or the failure to capture such information, whether caused by Contest Websites users, tampering or hacking, or by any of the equipment or programming associated with or utilized on the Contest Websites or in the Contest; and (vi) any problems or technical malfunction of any telephone network or lines, computer online systems, servers or providers, computer equipment, software (including but not limited to technical malfunctions which may result in the inability to access the Contest, the Contest Websites or the inability to process any transaction(s) in connection with the Contest), failure of email or Entries due to or resulting from technical problems or traffic congestion on the Internet or at any Contest Website or combination thereof, including injury or damage to participants or to any other person's computer related to or resulting from participating in this Contest.
In no event will any Contest Entity their parent companies, distributors, affiliates, subsidiaries, officers, vendors, advertising agencies and promotion agencies and each of their respective directors, officers, employees, representatives and agents, be responsible or liable for any damages or losses of any kind, including direct, indirect, incidental, consequential or punitive damages arising out of any Participant’s participation in this Contest, access to and use of the Contest Websites. Without limiting the foregoing, everything on the Contest Websites and in this Contest is provided “as is” without warranty of any kind, either express or implied, including but not limited to, the implied warranties of merchantability, fitness for a particular purpose or non-infringement. This Contest and the Contest Websites have been designed to be compatible with as many operating systems, Web browsers and computer systems as possible, however, the Contest Entities make no guarantee that this Contest or the Contest Websites will be compatible with any particular computer system and the Contest Entities shall have no responsibility to make the Contest or the Contest Websites compatible with any particular computer system.
Some jurisdictions may not allow the limitations or exclusion of liability for incidental or consequential damages or exclusion of implied warranties so certain of the above limitations or exclusion may not apply to you. Each Participant must check his/her local laws for any restrictions or limitations regarding these limitations or exclusions.
If for any reason this Contest, including any Puzzle, is not capable of running as planned due to (a) infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes which, in the sole opinion of Sponsor, corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Contest; or (b) earthquake, flood, fire, storm or other natural disaster, act of God, labor controversy or threat thereof, civil disturbance or commotion, disruption of the public markets, war or armed conflict (whether or not officially declared), the Sponsor reserves the right to cancel, terminate, modify or suspend the Contest at any time without liability. If the Contest is terminated due to tampering or technical difficulties, notice will be posted at the Site. The Sponsor is not liable for any potential winnings from any terminated or unfinished Contest.
By registering for a Contest Account and/or participating in any Contest offered on the Contest Websites, each Participant agrees that the Contest Entities are not responsible for any damage, loss or injury resulting by participating in the Contest. Each Participant (and, if the Participant is a minor, the Participant’s parents or legal guardians) release and agree to hold harmless the Contest Entities and any of their respective parent companies, subsidiaries, affiliates, directors, officers, employees and agencies from any liability whatsoever for any claims, causes of action, costs, injuries, losses, or damages of any kind, whether direct or compensatory, incidental, consequential, or otherwise, arising out of, relating to, or in connection with, in whole or in part, directly or indirectly, (i) the entry or use of the Contest Websites; (ii) the entry and participation in the Contest or any related activity; (iii) the acceptance, possession, or use of any prize; (iv) any tampering or other unauthorized access or use of the Contest Websites, or the Participant’s Contest Account; or (v) any typographical or other error in the printing, offering, or announcement of any prize (including, without limitation, claims, costs, injuries and losses related to personal injuries, death, damage to or destruction of property, rights of publicity or privacy, defamation or portrayal in a false light, whether intentional or unintentional), whether under a theory of contract, tort (including negligence), warranty or other theory.
ARTICLE 9 WINNERS LIST/OFFICIAL RULES.
While potential winners will be posted on the Site at the conclusion of each Puzzle, all potential winners are still subject to verification and must meet all eligibility requirements before a prize will be awarded. ARTICLE 10 DISPUTES.
As a condition of participating in this Contest, each Participant agrees that any and all disputes which cannot be resolved between the parties, claims and causes of action arising out of or connected with this Contest, or any prizes awarded, or the determination of any Puzzle winner shall be resolved individually, without resort to any form of class action exclusively by arbitration pursuant to the commercial arbitration rules of the American Arbitration Association, then effective. Further, in any such dispute, under no circumstances will any Participant be permitted to obtain awards for, and each Participant hereby waives all rights to claim punitive, incidental or consequential damages, or any other damages, including attorneys' fees, other than the Participant’s actual out-of-pocket expenses (i.e., costs associated with entering this Contest), and each Participant further waives all rights to have damages multiplied or increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Terms of Use, or the Participants’ rights and obligations or the Sponsor's rights and obligations in connection with this Contest, shall be governed by, and construed in accordance with, the laws of the State of Utah, U.S.A., without giving effect to the conflict of laws rules thereof, and all proceedings shall take place in that State in Salt Lake City, Salt Lake County, Utah.
ARTICLE 11 SPONSOR POLICIES.
Sponsor’s Privacy Policy
The Sponsor will not intentionally disclose any personally identifying information about any Participant (including information submitted on the Contest Account Entry or e-mail address) to third parties, including Advertisers, without your consent, except where the Sponsor, in good faith, believes such disclosure is necessary to comply with the law or to enforce these Terms of Use or other rules of the Contest. A Participant’s acceptance of any prize from the Sponsor constitutes consent for the Sponsor’s disclosure of personal information as described above. The Sponsor reserves the right to collect general demographic and other market information that does not personally identify a Participant to any third party without additional consent. The Sponsor monitors player traffic patterns and Contest Websites usage to help it develop and enhance the design of the Contest Websites and the Contest. The Sponsor may use a Participant’s IP address to help diagnose problems with his/her connection and to gather broad demographic usage information. The Sponsor’s Privacy Policy may be found at

Sponsor’s Anti-Spam Policy
By registering for a Contest Account and/or participating in any Puzzle offered on the Contest Websites, each Participant agrees not to use “Spam” techniques to attempt to obtain referrals/affiliates to the Contest Websites. For purposes of this section, the term “Spam” includes all unsolicited electronic messages sent to recipients with whom a Participant has no prior relationship, and may occur by e-mail, forums, chat rooms, instant messaging, and other forms of electronic messaging. Engaging in “Spam” techniques in connection with a Participant’s participation in this Contest will result in the immediate termination of such Participant’s Contest Account and all his/her privileges.
ARTICLE 12 MISCELLANEOUS.
Governing Law
These Terms of Use will be governed and construed in accordance with the laws of the State of Utah, irrespective of any principles of conflicts of law.
Entire and Unmodified Agreement
These Terms of Use, in connection with the other obligations and rules detailed in writing on the Contest Websites, constitute the entire agreement between each Participant and the Contest Entities and cannot be modified by any Participant. The Terms of Use cannot be modified on an individual basis by any person affiliated, or claiming affiliation, with the Contest Websites or any Contest Entity. Nothing in this subsection will prevent the Sponsor from modifying the terms of these Terms of Use and posting such modifications on the Site.
Validity and Enforceability
If any portion of these Terms of Use is deemed void or unenforceable, then that provision shall be deemed severable from these Terms of Use and shall not affect the validity and enforceability of the remaining provisions.
Acknowledgment of Proprietary Rights
By registering for a Contest Account and/or participating in any Puzzle offered on the Contest Websites, each Participant acknowledges that all information contained on the Contest Websites may be protected, in all forms and media, by one or more valid copyrights, patents, trademarks, trade secrets, or other proprietary rights, and that all such rights are owned by the Contest Entities. A Participant may not modify, publish, or create derivative works from, or in any way exploit this information.
